Vandana
Singh is a Company Secretary and a member of the Corporate Advisory Team
at Adlaw Partners. Vandana has assisted clients with various secretarial
functional such as Conducting Board, Committee, Extra-ordinary General
Meeting & Annual General Meetings as required under Companies Act
involving issuance of notices, drafting agenda, recording minutes and
preparing annual reports; Preparing and filing necessary documents, registers,
forms and returns as required under the Companies Act and other statutory
acts; Managing stock exchange operations, resolving investors’ grievances
and compliance with Registrar of Companies, SEBI, Stock Exchanges under
listing guidelines, Dept. of Company affairs, etc.; Delisting from stock
exchanges; postal ballot approval form shareholders; looking into shareholders
complaints. Successfully handled Merger & Acquisition / Scheme of
Arrangements / Demergers; preparing papers for Amalgamation and appeared
before the Department of Company Affairs and Coordinated with ROC and
official liquidator for Amalgamation of Companies. Successfully handled
change of name, Change of MOA & AOA, incorporation of Company &
winding 0f Company; Liaising with regulatory authorities’ viz. ROC,
DCA & Stock Exchanges for resolving critical issues, replying to show
cause notices and ensuring compliance with statutory obligations.

Vandana has also advised clients on restructuring and acquisitions; Negotiating and finalizing various commercial and technical agreements, NDAs, deeds & power of attorneys; Drafting and vetting various JV agreements/ shareholders agreements; Initiate / Defend and pursue legal proceedings, including briefing external legal counsels, prepare case for opinions etc; Conduct exhaustive research on case laws and latest amendments to relevant laws; Tracking legislation, analyzing trends and assessing future legal trends; Framing, reviewing and maintaining a governance process for statutory compliance; Ensuring proper compliances with the statutory requirements and coordinating with the panel counsels for monitoring various cases. |
